The noise does not usually start till the engine has warmed up a bit.  Seems to be from the drivers side.  Looked for any obvoius exhust leaks, but could not seem to find any.  Im no expert so that doesnt mean ones not there.  Thank you for your reply!

The "tick"  is a rocker arm. The cup where the pushrod meets the rocker arm has come loose. I have never seen one come out, but the noise can come and go.
The fault codes may be the MAF sensor.

UPDATE: So I brought my car to the shop(only LR Indy shop in town, Wichita,KS...Closest dealer Tulsa).  He said I need new cats, passenger side clogged.  Qouted me $1700 and I almost cried.  What would make my cats go bad?  Told the shop I would pick it up today and explore other options.  Im sure the cats are warrented still, as well as seeing cats and Y pipe for $500 on Roverland Parts.  Any thoughts, opions, and or suggestions will be apreciated!

yeah, youre cat is covered for 8yrs or 80000 miles, doubt thats really the problem though

Ya but may explain the ticking noise I''ve been chaseing!  Id be pissed if I drove all the way to Tulsa and that wasnt the problem.

Does anyone have any expirence with ROVER Land Parts?  I can  purchase the cats from them for $500.  May be cheaper than driving to Tulsa and having dealership replace it.  Plus I have some concerns about driving that far with a bad cat.

dont waste you money... for starters, it would be covered under warrenty... also, its not your cat... they said that the pass side is plugged, the codes you have are for bank 1, the other side. what tests did they do to condemn the cat, what was the engine vac reading??

Good question,  I dont know!  I also had P1171 (System to lean Bank A & B).  What does that mean?
